Terms of Service

1. Acceptance of Terms
These Terms of Service govern your use of Wahlu, a social media scheduling, publishing, and AI-assisted content platform operated by WAHLU LABS PTY LTD (ACN 696 304 140, ABN 99 696 304 140).
By creating an account, starting a trial, buying a subscription, buying credits, or otherwise using the service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Wahlu.
2. About the Service
Wahlu provides tools for:
- scheduling and publishing content to connected social platforms;
- managing content calendars, queues, media, and workspaces;
- using AI-powered features that consume credits; and
- connecting third-party accounts such as Meta, Instagram, TikTok, LinkedIn, YouTube, and Google services where supported.
Some features may be beta, limited, or available only on certain plans. We can add, remove, or change features over time.
3. Eligibility and Accounts
- You must be at least 18 years old and able to enter into a binding agreement.
- You must provide accurate account and billing information and keep it up to date.
- You are responsible for activity under your account and for keeping login details secure.
- You must only connect accounts and publish content you are authorised to manage.
- You are responsible for your users, team members, and contractors using your workspace.
4. Subscriptions, Billing, Auto-Renewal
Wahlu offers paid plans, trials, lifetime offers where available, and one-time credit purchases.
- Monthly plans are billed on 4-week cycles, not calendar months.
- Yearly plans, if offered, are billed upfront for 12 months and may drip credits every 4 weeks instead of issuing the full yearly amount at once.
- Trials and promotional offers may convert automatically to a paid plan unless cancelled before the trial ends.
- Your subscription renews automatically until you cancel.
- You authorise us and our payment processor to charge the payment method on file for recurring fees, taxes, and approved one-time purchases.
- We may change pricing or plan inclusions in the future. If we do, we will give reasonable notice before the change affects your next billing cycle where practicable.
- If payment fails, we may retry the charge, pause paid features, or suspend access until the account is brought back into good standing.
5. Credits and Usage Rules
Many AI features on Wahlu run on credits. Credit costs are shown in-product and may change over time as features or underlying provider costs change.
- Subscription credits are allocated per billing period.
- Subscription credits do not roll over unless we explicitly say otherwise in writing.
- Top-up or bonus credits may have different expiry rules, which we will show at purchase or grant time.
- Credits are a limited licence to use features inside Wahlu. They are not cash, are not banked funds, and are not redeemable for money.
- Credits may be deducted when you request or complete a credit-using action, depending on the feature and workflow.
- We may correct obvious errors, misuse, duplicate grants, refunds, or failed operations by adding, removing, or rebalancing credits where reasonably necessary.
6. Refund Policy
We want the refund policy to be simple and fair. This policy applies to the current billing period only and does not limit rights you may have under the Australian Consumer Law or other non-excludable laws.
For this section:
- Current billing period means the subscription period tied to the charge you are asking us to review.
- Used Credits % means
used credits / credits allocated for the current billing period. - Prorated refund means
amount paid for the current billing period × (1 - Used Credits %). - Day and cutoff calculations are measured in Sydney, Australia time (AEST or AEDT, as applicable).
Initial purchase rules:
- Your initial subscription purchase has a 14-day satisfaction window.
- If you used 20% or less of the included credits for that billing period, you can request a full refund.
- If you used more than 20% and up to 50%, you can request a prorated refund based on unused credits.
- If you used more than 50%, there is no refund except where required by law.
Renewal rules:
- Renewal refund requests must be made within 7 days of the renewal charge.
- If you used 20% or less of that renewal period's credits, you can request a full refund.
- If you used more than 20% and up to 50%, you can request a prorated refund.
- If you used more than 50%, there is no refund except where required by law.
Extra rules:
- If you started on a paid or discounted trial, the first full subscription charge after the trial is treated as your initial purchase for this refund policy.
- No refunds are available for earlier billing periods, partial dissatisfaction from prior periods, or change-of-mind requests made outside the windows above.
- No refunds are available for one-time add-ons or top-up packs that have been used in whole or in part, except where required by law.
- No refunds are available for accounts suspended or terminated for Terms breaches.
- Repeated refund abuse, chargeback abuse, or attempts to obtain service value and then repeatedly reverse charges may result in refunds being refused, account restrictions, or termination, subject to applicable law.
To request a refund, email steve@wahlu.com from the billing email on your account and include the workspace name and charge date.
7. Cancellation and Downgrade Rules
- You can cancel your subscription at any time before the next renewal date.
- Cancellation usually takes effect at the end of the current paid period unless we state otherwise in-product.
- Cancelling stops future renewals but does not itself create a refund right for the current period.
- Downgrades normally take effect on the next billing cycle.
- If you downgrade, your available features, limits, and credit allocations may decrease at the next renewal.
- Cancellation does not automatically delete your account or content. Data retention and deletion are covered in our Privacy Policy.
8. Acceptable Use
You must not use Wahlu to:
- break the law or violate another person's rights;
- publish deceptive, infringing, defamatory, hateful, or unlawful content;
- spam, scrape, probe, overload, or disrupt the service or connected platforms;
- attempt unauthorised access to any account, workspace, system, or data;
- use the service in a way that breaches the rules of a connected platform or developer API;
- upload malware, harmful code, or security exploits; or
- resell, clone, or reverse engineer the service except where non-excludable law allows it.
9. Third-Party Platform Dependencies and API Risk
Wahlu depends on third-party platforms and APIs. That means parts of the service can be affected by issues outside our control.
- Platforms may change their APIs, permissions, posting rules, review processes, rate limits, or eligibility requirements.
- Integrations may break, be delayed, or become unavailable if a platform changes its systems or rejects access.
- We do not guarantee uninterrupted publishing to any particular platform, account type, or content format.
- You remain responsible for complying with the terms, policies, and community guidelines of every connected platform.
10. Intellectual Property
We own or license the Wahlu service, including our software, design, branding, user interface, templates, documentation, and other service materials, except for content you own.
These Terms give you a limited, non-exclusive, non-transferable right to use the service for your internal business or personal use in line with your plan.
11. User Content License
You keep ownership of the content, media, captions, brand assets, and account data you submit to Wahlu.
To operate the service, you give us a limited licence to host, store, copy, process, display, format, and transmit that content:
- to provide the service you asked for;
- to schedule, publish, and distribute content to platforms you connected;
- to support backups, debugging, abuse prevention, and service improvement; and
- to comply with legal obligations.
You promise you have the rights needed to give us that licence.
12. Service Availability and Changes
- We aim to keep Wahlu available and useful, but we do not promise uninterrupted uptime.
- We may perform maintenance, upgrades, migrations, security work, or emergency fixes that affect availability.
- We may change features, limits, workflows, or supported platforms over time.
- We may discontinue features or integrations where continuing them is no longer commercially, technically, or legally practical.
13. Suspension or Termination
We may suspend or terminate access immediately if:
- you materially breach these Terms;
- you misuse the platform or create security, legal, billing, or operational risk;
- your payment remains overdue; or
- we are required to do so by law or by a third-party platform relationship.
Where reasonable, we will try to notify you first and give you a chance to fix the issue, but we do not have to do that in urgent cases.
14. Warranties Disclaimer
To the maximum extent permitted by law, Wahlu is provided on an "as is" and "as available" basis.
We do not promise that the service will always be uninterrupted, error-free, secure, or fit for every workflow, platform rule, or business outcome.
15. Limitation of Liability
To the maximum extent permitted by law, WAHLU LABS PTY LTD is not liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for loss of profits, revenue, business opportunity, goodwill, data, or anticipated savings.
To the maximum extent permitted by law, our total liability for claims arising out of or relating to Wahlu in the 12 months before the event giving rise to the claim will not exceed the amount you paid us for the service in that same 12-month period.
16. Australian Consumer Law Carve-Out
Nothing in these Terms excludes, restricts, or modifies any rights or remedies you may have under the Australian Consumer Law or any other law where those rights cannot be excluded.
If a law implies a guarantee, condition, warranty, or remedy into these Terms and we cannot lawfully exclude it, these Terms apply subject to that law.
17. Governing Law and Disputes
These Terms are governed by the laws of New South Wales, Australia. You and we submit to the exclusive jurisdiction of the courts of New South Wales and courts hearing appeals from those courts.
Before filing a claim, both sides agree to first try to resolve the dispute in good faith by contacting the other side with enough detail to understand the issue and the requested outcome.
